1. Agreement to Terms

By accessing or using RexHook ("the Protocol", "we", "us", or "our"), including the website, smart contracts, interfaces, and any associated services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, you must not access or use the Protocol.

These terms constitute a legally binding agreement between you and RexHook. We reserve the right to modify these terms at any time. Continued use after modifications constitutes acceptance of the updated terms.

2. Eligibility and Prohibited Jurisdictions

By using RexHook, you represent and warrant that:

  • You are at least 18 years of age or the age of majority in your jurisdiction, whichever is higher
  • You have the full legal capacity and authority to enter into these Terms
  • You are not located in, incorporated in, or a citizen or resident of any Prohibited Jurisdiction
  • You are not subject to economic or trade sanctions administered by any governmental authority
  • You are not on any list of prohibited or restricted parties
  • Your use of the Protocol complies with all applicable laws in your jurisdiction

Prohibited Jurisdictions include, but are not limited to: the United States of America, Cuba, Iran, North Korea, Syria, Crimea region, and any other jurisdiction where the use of decentralized finance protocols or digital assets is prohibited or restricted by law.

We reserve the right to restrict access from any jurisdiction at our sole discretion without prior notice.

3. Compliance Obligations

You are solely responsible for ensuring that your use of the Protocol complies with all applicable laws, regulations, and rules in your jurisdiction. This includes, but is not limited to:

  • Tax reporting and payment obligations
  • Securities laws and regulations
  • Anti-money laundering (AML) requirements
  • Counter-terrorism financing (CTF) requirements
  • Foreign exchange controls
  • Data protection and privacy laws

RexHook makes no representations regarding the legality of the Protocol in any jurisdiction. You assume all risk associated with using the Protocol in your jurisdiction.

4. Non-Custodial Service

RexHook is a non-custodial, decentralized protocol. This means:

  • We never have access to, custody of, or control over your digital assets, private keys, or seed phrases
  • You are solely responsible for the security and management of your wallet and credentials
  • All transactions are executed directly from your wallet to the blockchain via smart contracts
  • We cannot reverse, cancel, or modify any blockchain transactions on your behalf
  • If you lose access to your wallet, we cannot recover your funds or assets under any circumstances
  • You must independently verify all transaction details before signing
  • We do not hold, store, or transmit your digital assets at any time

5. Description of Services

RexHook provides decentralized infrastructure for Uniswap v4 hooks, including but not limited to:

  • Token Launch: Tools to create and deploy tokens with configurable smart contract hooks
  • Hooks Marketplace: Access to smart contract modules (dynamic fees, MEV protection, revenue sharing, etc.)
  • Token Discovery: Browse, analyze, and interact with tokens deployed on the Protocol
  • Staking: Stake protocol tokens to earn rewards from protocol fees
  • Revenue Distribution: Automatic distribution of trading fees to creators, stakers, and treasury

The Protocol is provided as a set of autonomous smart contracts on public blockchains. We provide interfaces to interact with these contracts but do not control the underlying blockchain infrastructure.

6. Wallet Connection and Security

To use certain features of the Protocol, you must connect a compatible cryptocurrency wallet. By connecting your wallet:

  • You authorize the Protocol interfaces to interact with your wallet for the purpose of executing transactions you initiate and approve
  • You acknowledge that you are solely responsible for all activity that occurs through your connected wallet
  • You agree to maintain the security of your wallet credentials and not share them with anyone
  • You understand that wallet connection may be facilitated through third-party services, subject to their respective terms
  • You accept full responsibility for any losses resulting from unauthorized access to your wallet

7. Risks and Disclaimers

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  • Volatility Risk: Digital assets are highly volatile. The value of tokens can fluctuate dramatically and may result in partial or total loss of funds. Past performance is not indicative of future results.
  • Smart Contract Risk: Smart contracts may contain bugs, vulnerabilities, or errors that could result in loss of funds. Audits do not guarantee security.
  • Protocol Risk: The Protocol may be subject to exploits, hacks, or unforeseen technical failures that could result in loss of funds.
  • Regulatory Risk: The regulatory status of digital assets and DeFi protocols is unsettled and evolving. Regulatory changes could adversely affect the Protocol or your ability to use it.
  • Wallet Security: You are solely responsible for securing your wallet. Loss of private keys or seed phrases will result in permanent, irreversible loss of access to your assets.
  • Irreversibility: Blockchain transactions are irreversible. Errors, including sending assets to wrong addresses, cannot be undone.
  • Third-Party Tokens: Tokens created by third parties on RexHook are not endorsed, verified, audited, or controlled by us. Many tokens may have no value, be fraudulent, or be designed to cause financial harm.
  • MEV and Trading Risks: Despite protection features, you may experience slippage, front-running, sandwich attacks, or other adverse trading conditions.
  • Network Risks: Blockchain networks may experience congestion, high gas fees, forks, or downtime that affects your ability to transact.
  • Liquidity Risk: You may be unable to buy or sell tokens due to insufficient liquidity.

8. No Investment Advice or Fiduciary Duty

THE PROTOCOL AND ALL CONTENT ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY.

  • Nothing on RexHook constitutes financial, investment, legal, tax, or other professional advice
  • We do not recommend any particular digital asset, transaction, or strategy
  • You should consult qualified professionals before making any financial decisions
  • We owe no fiduciary duty to you and have no obligation to act in your best interest
  • Any information provided is general in nature and may not be suitable for your situation
  • You are solely responsible for evaluating the merits and risks of any transaction

9. Regulatory Status

RexHook is not registered with any securities regulatory authority or financial regulatory agency in any jurisdiction. The Protocol does not constitute an offering of securities, a solicitation of investment, or a collective investment scheme. Nothing in these Terms or on the Protocol should be construed as such. We make no representations regarding the regulatory characterization of any tokens or activities on the Protocol.

10. User Conduct and Prohibited Activities

You agree NOT to:

  • Use the Protocol for any illegal purpose or in violation of any applicable laws
  • Create tokens that infringe on intellectual property rights of others
  • Create tokens designed to defraud, scam, or mislead other users
  • Engage in market manipulation, wash trading, or artificial volume inflation
  • Attempt to exploit, hack, or attack the Protocol or its smart contracts
  • Use bots or automated systems to gain unfair advantages unless explicitly permitted
  • Circumvent any security features, access controls, or geographic restrictions
  • Use the Protocol for money laundering, terrorist financing, or other illicit activities
  • Interfere with other users' access to or use of the Protocol
  • Impersonate any person or entity or misrepresent your affiliation
  • Access the Protocol from a Prohibited Jurisdiction

We reserve the right to restrict or terminate access for users who violate these terms, without prior notice or liability.

11. Token Creation

If you create a token using RexHook:

  • You are solely and fully responsible for your token, its functionality, and any claims made about it
  • You must not create tokens that impersonate other projects, individuals, or entities
  • You must not make false, misleading, or deceptive statements about your token
  • You acknowledge that token creation does not create any partnership, endorsement, or affiliation with RexHook
  • You are solely responsible for compliance with all applicable laws and regulations
  • You indemnify RexHook against all claims arising from your token

12. Third-Party Services and Content

The Protocol may contain links to or integrate with third-party services, websites, or content. We do not control, endorse, or assume responsibility for any third-party services or content. Your use of third-party services is at your own risk and subject to their respective terms and policies.

This includes, but is not limited to: wallet providers, blockchain networks, token contracts, price feeds, analytics services, and any external protocols or dApps.

13. Fees

The Protocol may charge fees for certain services, including but not limited to: token deployment, trading fees, hook licensing, and premium features. All fees are disclosed before transactions and are non-refundable once transactions are confirmed on the blockchain. Fee structures may change with reasonable notice posted on the Protocol. You are also solely responsible for any blockchain network fees (gas fees) required to execute transactions, which are paid directly to network validators and not to RexHook.

14. Intellectual Property

The RexHook name, logo, website design, user interfaces, and proprietary technology are owned by or licensed to RexHook and protected by intellectual property laws. Some smart contract code may be open source under specific licenses. You may not use our branding, trademarks, or copyrighted materials without prior written consent. Nothing in these Terms grants you any rights to our intellectual property except as expressly stated.

15. Warranty Disclaimer

THE PROTOCOL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE PROTOCOL WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

REXHOOK, ITS FOUNDERS, DEVELOPERS, CONTRIBUTORS, AFFILIATES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR DIGITAL ASSETS; COST OF SUBSTITUTE SERVICES; OR ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE PROTOCOL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THIS INCLUDES, WITHOUT LIMITATION, DAMAGES RESULTING FROM: SMART CONTRACT VULNERABILITIES OR EXPLOITS; WALLET COMPROMISE; USER ERROR; BLOCKCHAIN NETWORK ISSUES; REGULATORY ACTIONS; THIRD-PARTY ACTIONS; OR ANY OTHER CAUSE BEYOND OUR REASONABLE CONTROL.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNT OF FEES YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

17. Indemnification

You agree to indemnify, defend, and hold harmless RexHook, its founders, developers, contributors, affiliates, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of or access to the Protocol; (b) your violation of these Terms; (c) your violation of any rights of third parties; (d) any tokens you create, deploy, or interact with; (e) any transactions you execute; (f) your failure to secure your wallet or credentials; (g) your violation of any applicable laws or regulations; or (h) any content you submit or transmit through the Protocol.

18. Governing Law

These Terms and any dispute arising from your use of the Protocol shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law principles. You agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply.

19. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Protocol shall be resolved through binding individual arbitration, except where prohibited by applicable law. The arbitration shall be conducted in accordance with recognized international arbitration rules.

CLASS ACTION WAIVER: YOU AND REXHOOK AGREE THAT ANY CLAIMS WILL BE BROUGHT SOLELY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

JURY TRIAL WAIVER: YOU AND REXHOOK WAIVE ANY RIGHT TO A JURY TRIAL.

20. Force Majeure

RexHook shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God; natural disasters; war or terrorism; labor disputes; government actions or regulations; blockchain network failures, forks, or congestion; smart contract failures; third-party service outages; cyberattacks; power failures; or internet service interruptions.

21. Protocol Changes and Availability

We reserve the right to modify, suspend, or discontinue any part of the Protocol at any time, with or without notice, for any reason. We do not guarantee continuous, uninterrupted, or secure access to the Protocol. The Protocol may be unavailable due to maintenance, upgrades, security concerns, or circumstances beyond our control. We shall not be liable for any modification, suspension, or discontinuation of the Protocol.

22. Severability

If any provision of these Terms is found to be unenforceable, invalid, or illegal by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect. The unenforceable provision shall be enforced to the maximum extent permitted by law.

23. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and RexHook regarding your use of the Protocol and supersede all prior agreements, understandings, and communications, whether written or oral.

24. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of RexHook.
